Any action for breach of this Agreement must be brought within six months of termination of this Agreement and any extensions thereof.
    2. Except as provided in this Agreement, neither Epson nor its affiliates or agents shall be liable for (a) any loss, inconvenience, or damage, including direct, special, incidental, or consequential damages, including lost profits, cost of substitute equipment, downtime, claims of third parties, including customers, or injury to property, resulting from the use or inability to use the Products, whether resulting from a breach of any express or implied warranty or any other legal theory, or (b) delay in furnishing or failing to furnish service if such delay is caused by an act of God, strike, governmental action or any cause beyond Epson's reasonable control. Some provinces may not allow limits on warranties or on remedies for breach in certain transactions. In such provinces, the limits of this paragraph and the preceding paragraph may not apply.
  10. General
    1. Customer agrees to notify Epson immediately if any Product is sold, lost, stolen, or destroyed.
    2. This Agreement constitutes the entire agreement between the parties. There are no representations, agreements or understandings, expressed or implied, affecting the parties which are not expressly set forth herein or therein. Epson's sales representatives do not have authority to change the terms hereof or thereof. This Agreement may only be modified by a writing signed by both parties.
    3. The parties hereto confirm that it is their wish that this Agreement, and all other documents relating hereto, including any notices, have been and shall be drawn up in the English language only. Neither party may take any other action by way of request for injunctive relief or otherwise. The costs of arbitration, including the fees and expenses of the arbitrator, shall be shared equally by the parties unless the arbitration award provides otherwise; provided that each party shall bear its own cost of preparing and presenting its case. In no event shall the arbitrator have the authority to make any award that provides for punitive or exemplary damages. The decision of the arbitrator shall follow the plain meaning of the relevant documents, and shall be final and binding, without any right of appeal therefrom, whether on questions of law, fact, or mixed law and fact. Upon award, judgment may be recorded in and enforced by any court of competent jurisdiction. This Agreement and all other documents relating hereto shall be construed in accordance with the laws of Ontario, including (with respect to this arbitration clause) the Arbitrations Act (Ontario) 1991 as amended.
